Digital BV setup explained
How does the digital incorporation of a private limited company (BV) work? What's the signing process? And the identification process? These and other questions about digital incorporation are answered in Notariaat Magazine. The presentation by project leader Robin Perik, which he gave in early October at the online annual conference of the Royal Dutch Association of Civil-Law Notaries (KNB), is also available online.
Viewers of last month's online annual conference got a sneak peek at what digitally establishing a private limited company (DOBV) will entail. Perik provided background information on the directive and demonstrated the process. The presentation (28:04 min) is now available online in its entirety. Missed the conference? Watch it now! A short version (4:59 min) is also available in which Perik explains the contents of his workshop. Questions asked during the conference are answered inNotariaat Magazine (pdf) .
Connecting to work process
As of August 1, 2021, a European directive stipulates that it must be possible to establish a private limited company (BV) entirely online. The Ministry of Justice and Security is working with the Ministry of Economic Affairs and Climate Policy on a draft bill to implement the directive. The Royal Netherlands Association of Notaries (KNB) is working hard to complete the integration with notarial software suppliers by the end of 2020. They can then continue with their office processes. In parallel, the project team will continue working on a central execution platform where digital notarial deeds can be executed. It is crucial that the online process for establishing BVs aligns well with the (digital) requirements of the notary profession and the current workflow of notaries. Therefore, a notarial advisory group has been established.
