Online establishment of a private limited company is an important step in the modernization of corporate law.

The Royal Dutch Association of Civil-Law Notaries (KNB) and the Combined Committee on Corporate Law (GCV) consider the online incorporation of private limited companies (BVs) an important step in the modernization of Dutch corporate law. The KNB and the GCV wrote this in response to the consultation on the preliminary draft for online incorporation of private limited companies (BVs).

By choosing to maintain the role of the notary in the incorporation of a private limited company and introducing a central signing system, the Ministry of Justice and Security underscores the importance of legal certainty, legal protection, and the prevention of fraud and crime. This is what the Royal Netherlands Bar Association (KNB) wrote in its response (pdf, 207 kB) to the consultation . This development represents a first concrete step toward further digitization of the various types of notarial deeds, laying the foundation for a modern and sustainable notarial profession.

Right choice
The GCV (pdf) considers maintaining notarial intervention for the online incorporation of a private limited company (BV) a sound decision. The committee endorses the arguments (legal certainty, legal protection of parties, and combating crime) presented in the draft explanatory memorandum. In its advisory report, the GCV makes several comments on the preliminary draft. For example, the committee would like to see the deed of incorporation also be able to be executed in a language other than Dutch.
