Introduction of digital BV incorporation later
The introduction of the digital incorporation of a private limited company (BV) has been delayed again. The House Committee for Justice and Security has decided that the bill must first be debated in plenary session, making the expected implementation date of January 1, 2023, unfeasible. The plenary session is provisionally scheduled for February. This means the implementation date is expected to be pushed back to summer 2023.
According to the European directive to be implemented, implementation should have taken place by August 1, 2022. If the House of Representatives approves the bill, the Senate must also approve it. The implementing legislation allows EU residents to establish a private limited company (BV) digitally via a digital notarial deed, with digital identification and digital signature at the highest levels of reliability.
Digital passing
The Royal Dutch Association of Civil-Law Notaries (KNB) has developed a platform that will soon enable civil-law notaries to sign documents digitally. This platform is ready for use and can be used from the implementation date. Civil-law notaries have been able to practice using it since March 2022 in a dedicated knowledge base and pilot project.
